Contest Rules and Regulations (“Official Rules”)

Eligibility

The PartsTech (“Contest”) is open to permanent, legal residents of the fifty (50) United States and the District of Columbia who are physically located in the United States and who are at least eighteen (18) years old at the time of entry. Officers, directors, and employees of Contest Partners (as defined below), members of these persons’ immediate families (spouses and/or parents, children, and siblings, and each of their respective spouses, regardless of where they reside), and/or persons living in the same households as these persons (whether or not related thereto) are not eligible to enter or win the Contest. “Contest Partners”, as referenced herein, shall include PartsTech, Inc., and each of their respective parent, subsidiary, and affiliated companies, and their administrative, advertising, and promotion agencies, and any other entity involved in the development, administration, promotion, or implementation of the Contest.

The Contest is subject to federal, state, and local laws and regulations. 

Sponsor

The Contest is sponsored by PartsTech, Inc., located at 1 Broadway, 14th floor, Cambridge, Massachusetts 02142 (the “Sponsor”). 

Agreement on Official Rules

Participating in the Contest constitutes the Entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decision of the Sponsor, which are final and binding. Winning a Prize (defined below) is contingent upon compliance with these Official Rules and fulfilling all other requirements set forth herein. 

Prizes

For “Prize Opportunity 1”, there will be three (3) individual prizes (JBL Boombox3, Nintendo Switch, and Yeti Tundra 65 Hard Cooler), awarded to Winners (defined below). Winners will be informed which of the three prizes they won on the selection date. Sponsor reserves the right to substitute a prize for an item of equal or greater value in the event an advertised prize is unavailable. Any difference between the actual value and the approximate retail value of any prize will not be awarded. No substitution or cash equivalent will be made. No cash substitutions will be allowed.

The odds of being selected for a Prize depend on the number of entries received.

Contest Period

The Contest begins on March 13, 2024, and ends on April 13th, 2024, at 11:59 pm EST (the “Contest Period”). Entries that are submitted before or after the Contest Period will be disqualified. Submissions will be accepted for the duration of the Contest using the following method:

How to Enter

The Contest will consist of three (3) individual drawings (each a “Drawing”) for the Prize Opportunity 1 Prizes and the award of the JBL Boombox3, Nintendo Switch, and Yeti Tundra 65 Hard Cooler on or around April 16th, 2024 (“Drawing Date”). For Prize Opportunity 1 Prizes, the method of entry will be the valid registration of a new PartsTech account by the holder who has placed five or more orders between 3.13.24 - 4.13.24 with the limitation of 1 entry per shop. A party who has completed a Prize Opportunity 1 Prize entry shall be automatically entered to win. Each party who submits an entry shall be an “Entrant”. Any registrations by existing PartsTech account holders will not be valid or accepted.

Limit one (1) entry per person, per email address, and per valid PartsTech account for the duration of the Contest Period, regardless of the method of entry. Entries received from any person, e-mail address, or account in excess of the stated limitation will be void. All entries become the property of the Sponsor and will not be acknowledged or returned.

Sponsor’s computer shall be the official timekeeper for all matters related to this Contest. Entries generated by a script, macro, or other automated means or by any means that subverts the entry process will be disqualified. Entries that are incomplete, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted. In case of a dispute over the identity of an entrant who made a potentially winning entry, Sponsor reserves the right to determine the party who made the entry (e.g. if a single business attempts to open 2 accounts with PartsTech). 

Entry constitutes permission (except where prohibited by law) to use entrant’s name, company or business name, city, state, likeness, image, and/or voice for purposes of advertising, promotion, and publicity in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, notification, permission, or approval.

Winner Selection and Notification

On or about the Drawing Date, three (3) winners of a the Prize Opportunity 1 Prize will be selected in a random drawing by representatives of Sponsor from all eligible entries received during the Contest Period (each “Winner,” collectively, the “Winners”).

Sponsor will make two (2) attempts to notify potential Winners at the email address associated with the PartsTech account registrant submitted at the time of entry. Sponsor may share potential Winners’ names and contact information with Contest Partners and/or any prize provider, as applicable, if necessary. Potential Winners may be required to execute and return an affidavit of eligibility, release of liability, and, except where prohibited, publicity release within five (5) days of such notification. Noncompliance within this time period will result in disqualification, and, at Sponsor’s sole discretion an alternate potential Winner may be selected from the remaining eligible entries. If a potential Winner cannot be reached, is found to be ineligible, cannot or does not comply with these Official Rules, or if Prize or prize notification is returned as undeliverable, such potential Winner will be disqualified and time permitting, at Sponsor’s sole discretion, an alternate potential Winner may be selected from the remaining eligible Entries. Limit one (1) Prize per business, family, or household.

Release and Limitations of Liability

By participating in the Contest, Entrants agree to release and hold harmless the Sponsor, and other companies associated with the Contest, including their directors, officers, employees, agents, and affiliates (collectively, the “Released Parties”) from and against any claim or cause of action arising out of participation in the Contest or receipt or use of the prize (including any travel or activity related thereto), including but not limited to: (a) any technical errors associated with the Contest, including lost, interrupted, or unavailable Internet Service Provider (ISP), network, server, wireless service provider, or other connections availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmission, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Contest; (c ) mechanical, network, electronic, computer, human, printing or typographical errors; (d) application downloads, (e) any other errors or problems in connection with the Contest, including, without limitation, errors that may occur in the administration of the Contest, the announcement of the winner, the cancellation or postponement of the event and/or flyover, if applicable, the incorrect downloading of the application, the processing of the entries applications downloads or in any Contest-related materials. 

Disclaimers

Entries that are lost, late, misdirected, incorrect, garbled, or incompletely received, for any reason, including by reason of hardware, software, browser, or network failure, malfunction, congestion, or incompatibility at Sponsor’s servers or elsewhere, will not be eligible. Sponsor, in their sole discretion, reserves the right to disqualify any person tampering with the entry process or the operation of the website. Sponsor further reserves the right to cancel, terminate or modify the Contest if it is not capable of completion as planned, including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, force majeure or technical failures of any sort. The Released Parties are not responsible for errors in the administration or fulfillment of the Contest, including without limitation mechanical, human, printing, distribution or production errors, and may modify or cancel the Contest based upon such error at its sole discretion without liability. THE RELEASED PARTIES MAKE NO WARRANTIES, REPRESENTATIONS OR GUARANTEES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, WITH REGARDS TO THE CONTEST OR THE MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE REGARDING ANY PRIZE OR ANY COMPONENT OF ANY PRIZE. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY CONTEST -RELATED WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING WITHOUT LIMITATION ATTORNEYS’ FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. 

Disputes, Applicable Law

All Entrants and the Winners agree that any and all disputes, claims and causes of action arising out of or in connection with the Contest, or any Prize or the determination of the Winner, which cannot be resolved between the parties, shall be resolved individually, without resort to any form of class action, exclusively by arbitration pursuant to the commercial arbitration rules of the American Arbitration Association, then in effect. Further, in any such dispute, under no circumstances will Entrants or the Winners be permitted to obtain awards for, and each entrant and Winner hereby waives all rights to claim, punitive, incidental, and consequential damages, and any other damages, including attorneys’ fees, other than entrant’s or the Winner’s actual out-of-pocket expenses incurred by participation in the Contest, and each entrant and Winner further waives any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules or the rights and obligations of the Entrants, Winners, Sponsor, and the Contest Partners in connection with the Contest shall be governed by, and construed in accordance with, the laws of the Commonwealth of Massachusetts, without giving effect to any choice of law or conflict of law rules or provisions (whether of the Commonwealth of Massachusetts or any other jurisdiction) that would cause application of the laws of any jurisdiction other than the Commonwealth of Massachusetts. All Entrants and Winners consent to the jurisdiction and venue of the courts located within Suffolk County, Massachusetts. 

Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision.

Information collected from Entrants is subject to Sponsor’s privacy policy. If, at any time, you no longer wish to receive materials from Sponsor or our partners, please contact us as provided in our privacy policy, or the applicable Contest Entity or partner’s privacy policy and follow the procedures indicated.
